Plain English summary. These terms govern use of the WedgeBid website. They are not the agreement for paid services — that is a separate engagement letter we sign with each client. By browsing or using this website, you accept these terms.

1. About these terms
These Terms of Service ("Terms") govern your use of the WedgeBid website at wedgebid.com and any related public-facing pages (the "Site"). "WedgeBid," "we," "us," and "our" refer to Advertflair LLC, a New York limited liability company, operating under the WedgeBid name.
These Terms do not govern paid engagements. If you become a client, you and we will sign a separate engagement letter that sets out the specific scope, fees, deliverables, timeline, and terms of that engagement. In any conflict between these Terms and an engagement letter, the engagement letter controls.
2. Who can use the site
You may use the Site if you are at least 18 years old and authorized to act on behalf of a business or organization (or are using the Site for individual research purposes). By using the Site, you represent that this is true.
3. Scope of the relationship
Browsing the Site, downloading materials, taking the Access Audit, subscribing to our list, or contacting us through the Site does not create an attorney-client, accountant-client, advisor-client, or any other professional relationship. It also does not create a client relationship with WedgeBid for paid services. A paid engagement begins only when you sign a written engagement letter and we begin work.
4. The free Access Audit
The Access Audit produces an opportunity inventory based on the information you provide. It is offered free of charge and is for informational and educational purposes. The Audit is not:
- Legal advice, tax advice, accounting advice, or financial advice.
- A guarantee that you will qualify for any certification, grant, or contract identified in the report.
- A representation that the listed programs are exhaustive or that no other programs apply.
Eligibility for individual programs is determined by the issuing agency. We recommend reviewing program requirements directly before applying. Your audit answers and resulting report are subject to our Privacy Policy.
5. Intellectual property
The Site, including the WedgeBid name and logo, text, graphics, code, software, design, and the structure and organization of content, is owned by us or our licensors and is protected by copyright, trademark, and other laws. You may not copy, reproduce, distribute, publish, modify, or create derivative works of any of it without our prior written consent.
You may share links to public pages on the Site and quote brief excerpts for educational, journalistic, or commentary purposes with attribution, consistent with fair use.
6. Information you provide
When you submit information through the Site (for example, by taking the Access Audit, completing a contact form, or subscribing to our list), you represent that the information is accurate and that you have the authority to provide it. You grant us a non-exclusive, royalty-free license to use the information for the purposes described in our Privacy Policy and any engagement letter.
You agree not to submit information that is false, fraudulent, infringes the rights of others, or violates any law.
7. No guarantees and no advice
The Site is provided "as is." We do not warrant that it will be uninterrupted, error-free, or free of viruses or other harmful components. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent allowed by law.
No legal, tax, or financial advice. Nothing on the Site is legal, tax, accounting, or financial advice. We are not attorneys, accountants, or financial advisors. If you need that kind of advice, consult a licensed professional. See our Service Disclosures for more detail on the limits of our services.
No guaranteed outcomes. We do not guarantee that you will be certified, awarded a grant, awarded a contract, or that you will recoup any specific revenue from working with us. Outcomes depend on factors outside our control, including agency review, competitive dynamics, and your business circumstances.
8. Limitation of liability
To the maximum extent permitted by law, WedgeBid and its members, managers, employees, contractors, and affiliates are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of the Site or any service offered through the Site, even if we have been advised of the possibility of such damages.
For any direct damages, our total cumulative liability arising from your use of the Site is limited to one hundred US dollars ($100), unless a separate engagement letter we have signed with you provides a different cap, in which case the engagement letter controls.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless WedgeBid and its members, managers, employees, contractors, and affiliates from any claim, loss, damage, liability, or expense (including reasonable attorneys' fees) arising from your violation of these Terms, your violation of any law, your infringement of any third party's rights, or any information you submit to us that is false, fraudulent, or otherwise wrongful.
10. Changes
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Site after updates constitutes acceptance of the updated Terms. If a change is material and affects existing clients, the engagement letter terms control over these Site Terms for that engagement.
11. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising from or relating to these Terms or the Site that the parties cannot resolve through good-faith negotiation will be brought exclusively in the state or federal courts located in Kings County, New York, and the parties consent to personal jurisdiction in those courts.
You and we agree to first attempt to resolve any dispute through informal negotiation by contacting us at [email protected] with a written description of the dispute and your desired resolution.
12. Other terms
- Severability. If any portion of these Terms is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a sale, merger, or reorganization of our business.
- Entire agreement. These Terms, together with our Privacy Policy, Service Disclosures, and any engagement letter we have signed with you, constitute the entire agreement between us regarding the subject matter and supersede all prior understandings.
